3E9 Design – Web Design & Hosting Agreement

This agreement is between 3E9 Design (“we/us”) and you, the client (“you”), for web design and/or hosting services. This is a straightforward agreement to ensure both parties are clear on expectations.

Ownership
All websites we design remain our property.

Providing website files or administrative access is at our discretion. We are not obligated to hand over files for hosting moves, self-management, or other purposes unless explicitly agreed.

Payment & Scope
You pay us for the design and/or hosting services as agreed.

Hosting plans may include a certain number of maintenance hours per year, depending on the plan. This is flexible, and we generally assist as needed, but we reserve the right to bill hourly if the requested work is extensive.

Additional work or changes outside the agreed scope may incur separate charges.

Hosting & Data
We do not guarantee uptime, backups, or data security.

While we make every effort to maintain services and backups, data loss or downtime may occur, and we are not liable for these events.

No Warranty:
We provide services “as-is” and make no warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

Admin Access
If you request administrator access to your site, we reserve the right to bill for any future issues that occur after access is provided.

This includes, but is not limited to, security incidents, malware, or other problems caused by account use or misconfiguration.

Client Responsibility
The client is responsible for providing content, securing passwords, and maintaining proper use of accounts. 3E9 Design is not liable for content errors or security breaches caused by client actions.
Response Time & Military Schedule
We strive to respond and resolve issues promptly.

We are active duty military, and deployments, training, field exercises, or other duties may delay our response.

If issues occur during periods when we are unavailable due to military duties, we will address them as soon as possible.

Limitation of Liability
In no event will 3E9 Design be liable for any indirect, incidental, special, or consequential damages arising out of or related to this agreement or the services provided.
Governing Law & Dispute Resolution
This agreement is governed by the laws of Kootenai County, Idaho.

Any disputes not resolved amicably will be handled in small claims or civil court in the county courthouse in Kootenai County, Idaho.

Agreement Confirmation
By signing below, you acknowledge that you understand and accept all terms in this agreement, including ownership, hosting disclaimers, maintenance flexibility, administrator access billing, client responsibilities, and limitation of liability.

You also acknowledge that the provider may be unavailable due to military duties, and response times may be delayed.
